JSH has nearly 48 years’ experience as lawyer within several legal areas. He has been instrumental in the development of Advokatfirmaet Simonsen Vogt Wiig, which is one of Norway’s largest and most successful law firms. During his career, JSH has worked within series of industries and is broadly oriented within business law. See CV here. He has a large network, with excellent connections both nationally and internationally, including both lawyers and other relevant professions.
The activities in his firm are based on this experience and legal competence. Combined with industry knowledge it establishes a good starting point for valuable advice to the clients. The clients are assured personal attention in all parts of the assignment. In particularly work intensive assignments additional assistance will be hired from other law firms, which also provides possibilities of further strengthening of the required competence.

JSH har arbeidet med stiftelse av og kapitalutvidelser i selskaper, aksjeselskap og forskjellige former for ansvarlige selskap, kjøp og salg av aksjer og virksomheter, verdipapirhandel og børsspørsmål, styrearbeid og styreansvar, corporate governance spørsmål og regulatoriske forhold. Han har erfaring fra forskjellige bransjer, shipping, olje- og offshorevirksomhet og forsikring. Han har prosedert en rekke saker innen dette feltet for de alminnelige domstoler og voldgiftsretter.

JSH har assistert store ogmellomstore selskap med tilretteleggelsen av interne regler for virksomhetsstyring, code of conduct etc., derunder utarbeidet programmer for dilemmatrening. Han har videre foretatt interne og eksterne granskninger av meget store og mindre virksomheter med sikte på å avdekke misligheter og brudd på interne regler. Hans erfaring med forholdet til regulatoriske myndigheter ved behandlingen av slike saker er meget verdifull.

JSH har lang erfaring med kontraktrettslige spørsmål, også i internasjonale forhold. Han har arbeidet med finansiering, leveransekontrakter, entreprisekontrakter, forhandler- og agentkontrakter, kjøp og salg av virksomhet og er erfaren i arbeide med en rekke norske standardkontrakter som NL01, NLM02, NS 8405 og NLF i forskjellige varianter. Han har prosedert en rekke saker innen dette feltet for de alminnelige domstoler og voldgiftsretter.

JSH har møterett for Høyesterett og har lang erfaring som prosedyreadvokat både for de alminnelige domstoler og for voldgiftsretter, både såkalt ad hoc voldgifter og institusjonell voldgift, eksempelvis Stockholm Chamber of Commerce Arbitration. Han er vant med internasjonal voldgift, der sakene forberedes og prosederes på engelsk.

JSH har på grunn av sin brede erfaring med flere bransjer og fagfelt og med prosedyre særlige forutsetninger for å arbeide som voldgiftsdommer og har lang erfaring med dette arbeidet. · Formann i voldgiftsretten i en sak mellom et utenlandsk selskap som saksøker og et norsk investeringsselskap som dreiet seg om diverse garanti spørsmål under en avtale om kjøp av aksjer og tilsidesettelse av en ekspertuttalelse. Saken ble ført og dommen skrevet på engelsk.
· Formann i voldgiftsretten i en sak mellom et norsk selskap som saksøker og et utenlandsk selskap vedrørende fortolkningen av diverse bestemmelser i et certeparti, lovvalgs- og sjørettslige spørsmål. Saken ble ført og dommen skrevet på engelsk.
· Formann i voldgiftsretten i en sak mellom et norsk selskap som saksøker og et utenlandsk selskap vedrørende forståelsen av en betalingsgaranti avgitt i forbindelse med en skipsbyggingskontrakt. Saken ble ført og dommen skrevet på engelsk.

SPECIAL COMPETENCE AND EXPERIENCE

Jørgen Stang Heffermehl is educated at the University of Oslo as a maritime lawyer. For several years he worked within maritime and shipping related disciplines, sale and purchase of vessels and oil rigs, charter party work and financing of vessels. His work is still within shipping and shipping related business. Now he works more towards corporate issues in this field.

During the 1980’s Jørgen Stang Heffermehl developed his work towards corporate issues. He has since worked with a variety of corporate problems and has been responsible for the legal issues in the establishing of insurance companies within maritime and liability insurance (Bluewater Insurance ASA and Protector Forsikring ASA). He has broad experience with M&As, public and private offerings, stock exchange and board of directors work, reconstruction of distressed companies and investigations, a considerable part of which has been related to litigation and arbitration. He has served as director of the boards of listed and non-listed companies.
Jørgen Stang Heffermehl has assisted a series of important players with corporate issues, including the Norwegian Ministry of Commerce and Trade with advice in connection with the Ministry’s engagement in Aker Holding AS, which the state owns together with Aker ASA, relating to transactions between Aker ASA and Aker Solutions ASA.

Jørgen Stang Heffermehl has conducted several private investigations inter alia for Statoil ASA, thereunder investigation of Statoil’s international consultancy contracts as part of Statoil’s report to the US DoJ and SEC following the Horton matter. In 20007 he was engaged by StatoilHydro to perform a corporate investigation of Norsk Hydro’s former petroleum activities, with the purpose of uncovering possible breaches of applicable Norwegian or US law against corruption. The work was carried out in cooperation with the US law firm Sidley Austin LLP.
Jørgen Stang Heffermehlwas in 2010 engaged by Helse Midt-Norge (Medical Authority for Mid-Norway) to investigate and consider certain transactions and corporate structures relating to the construction of hospitals in Mid-Norway. In 2011/12 he worked with an investigation of one of Norway’s largest savings banks to consider possible liability for the bank for possible purchase or financing of a large Norwegian media company.
Jørgen Stang Heffermehl has assisted a long range of listed and non-listed companies in considering possible breaches of regulatory rules, stock exchange rules and internal guidelines, socalled “compliance issues”. He has assisted in drafting and implementing internal ethical guidelines and training of employees, thereunder dilemma training.

He has since the start of his career worked with contractual questions, especially within construction and supplier contracts, agency and distributor contracts and fabrication contracts within the oil industry. He established in the 1980’s and 1990’s a large practice within construction contracts in the offshore industry. He has been advising several Norwegian offshore yards during construction and delivery of large installations for the North Sea, e.g. “VISUND” and “TROLL C”.

He is qualified to plead before the Supreme Court of Norway and has extensive experience as a litigator. He had pleaded a number of large arbitration cases where the parties have been foreign and the cases have been pleaded in the English language. He pleaded a large arbitration case before the Stockholm Chamber of Commerce arbitration Institute in 2012 relating to the valuation of shares in a Pakistani company and contract interpretation.
He pleaded a court before the Norwegian Supreme Court in 2012 relating to a principle issue in interpretation of on demand guarantees.
