SPECIAL COMPETENCE AND EXPERIENCE 

BACKGROUND
Jørgen Stang Heffermehl is educated at the University of Oslo as a maritime lawyer. For several years he worked within maritime and shipping related disciplines, sale and purchase of vessels and oil rigs, charter party work and financing of vessels. His work is still within shipping and shipping related business. Now he works more towards corporate issues in this field.

CORPORATE LAW
During the 1980’s Jørgen Stang Heffermehl developed his work towards corporate issues. He has since worked with a variety of corporate problems and has been responsible for the legal issues in the establishing of insurance companies within maritime and liability insurance (Bluewater Insurance ASA and Protector Forsikring ASA). He has broad experience with M&As, public and private offerings, stock exchange and board of directors work, reconstruction of distressed companies and investigations, a considerable part of which has been related to litigation and arbitration. He has served as director of the boards of listed and non-listed companies.

Jørgen Stang Heffermehl has assisted a series of important players with corporate issues, including the Norwegian Ministry of Commerce and Trade with advice in connection with the Ministry’s engagement in Aker Holding AS, which the state owns together with Aker ASA, relating to transactions between Aker ASA and Aker Solutions ASA.

COMPLIANCE AND CORRUPTION
Jørgen Stang Heffermehl has conducted several private investigations inter alia for Statoil ASA, thereunder investigation of Statoil’s international consultancy contracts as part of Statoil’s report to the US DoJ and SEC following the Horton matter. In 20007 he was engaged by StatoilHydro to perform a corporate investigation of Norsk Hydro’s former petroleum activities, with the purpose of uncovering possible breaches of applicable Norwegian or US law against corruption. The work was carried out in cooperation with the US law firm Sidley Austin LLP.

Jørgen Stang Heffermehlwas in 2010 engaged by Helse Midt-Norge (Medical Authority for Mid-Norway) to investigate and consider certain transactions and corporate structures relating to the construction of hospitals in Mid-Norway. In 2011/12 he worked with an investigation of one of Norway’s largest savings banks to consider possible liability for the bank for possible purchase or financing of a large Norwegian media company.

Jørgen Stang Heffermehl has assisted a long range of listed and non-listed companies in considering possible breaches of regulatory rules, stock exchange rules and internal guidelines, socalled “compliance issues”. He has assisted in drafting and implementing internal ethical guidelines and training of employees, thereunder dilemma training.

CONTRACT LAW
He has since the start of his career worked with contractual questions, especially within construction and supplier contracts, agency and distributor contracts and fabrication contracts within the oil industry. He established in the 1980’s and 1990’s a large practice within construction contracts in the offshore industry. He has been advising several Norwegian offshore yards during construction and delivery of large installations for the North Sea, e.g. “VISUND” and “TROLL C”.

ARBITRATION AND LITIGATION
He is qualified to plead before the Supreme Court of Norway and has extensive experience as a litigator. He had pleaded a number of large arbitration cases where the parties have been foreign and the cases have been pleaded in the English language. He pleaded a large arbitration case before the Stockholm Chamber of Commerce arbitration Institute in 2012 relating to the valuation of shares in a Pakistani company and contract interpretation.

He pleaded a court before the Norwegian Supreme Court in 2012 relating to a principle issue in interpretation of on demand guarantees.

ARBITRATOR
Jørgen Stang Heffermehl has undergone further education as arbitrator and has long experience as such. He regularly sits as arbitrator, often with one foreign party.
